Terms of Service
These Terms of Service ("Terms") govern your access to and use of Abilisto (the "Platform"). By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.
1. Platform Nature and No-Employment Relationship
Abilisto is a digital marketplace and technology intermediary that facilitates the connection between independent service providers ("Workers") and individuals or entities seeking services ("Clients").
Abilisto does not:
- Employ, supervise, control, or direct Workers
- Act as an agent, partner, joint venturer, or representative of any Worker
- Provide the services offered on the Platform
All Workers operate strictly as independent contractors. All service engagements form a direct contractual relationship solely between the Client and the Worker.
2. Client Risk Assumption and Limitation of Liability
Clients expressly acknowledge and agree that all bookings are made at the Client's sole risk and discretion. Abilisto's verification processes do not constitute a guarantee of service quality, legality, or outcome.
To the fullest extent permitted by Philippine law, Abilisto shall not be liable for:
- Unsatisfactory, incomplete, delayed, or defective services
- Personal injury, death, or property damage
- Financial losses, emotional distress, or consequential damages
- Any acts, omissions, negligence, or misconduct of Workers or Clients
3. Worker Risk Assumption and Cash Transactions
Workers retain full discretion to accept or decline service requests.
3.1 Cash-Based Bookings
By accepting a booking paid in Cash, the Worker expressly agrees that the booking is accepted entirely at the Worker's own risk. Abilisto bears no responsibility for:
- Client no-shows ("ghosting")
- Travel, fuel, time, or opportunity costs
3.2 Abuse Mitigation Measures
Upon verification of Client abuse:
- The Worker's platform acceptance fee may be refunded
- The Client's access to Cash payment options may be restricted or permanently disabled
These measures are discretionary safeguards, not guarantees.
4. Dispute Neutrality and Legal Compliance
Abilisto is not a dispute resolution authority and maintains strict neutrality between Clients and Workers.
Abilisto shall fully comply with lawful orders from competent authorities and may disclose relevant data, including transaction records, in-platform communications, and system-generated or verified location data. Such disclosure shall be made only when required under Philippine law and within proper legal process.
5. Limitation of Liability
To the maximum extent allowed by law, Abilisto shall not be liable for indirect, incidental, special, or consequential damages. Total liability, if any, shall not exceed the total platform fees paid by the user during the preceding six (6) months.
6. Account Suspension, Termination, and Enforcement
Abilisto reserves the right to suspend, restrict, or terminate accounts without prior notice for:
- Fraud, misrepresentation, or falsified credentials
- Abuse, harassment, or unsafe behavior
- Violations of these Terms or applicable laws
- Conduct that threatens platform integrity or public safety
7. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any legal action shall be filed exclusively in the proper courts of the Philippines.
8. Amendments
Abilisto may modify these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.
